(1) These Terms & Conditions apply to participants in the Sense Valmennus Oy Affiliate Program (the "Program").
(2) In these Terms & Conditions, "Company", "we", "us", and "our" means Sense Valmennus Oy, a limited liability company (yksityinen osakeyhtiö) registered in Finland under Business ID 2348325-2, with its registered office in Suomussalmi, Finland.
(3) In these Terms & Conditions, "Affiliate", "you" and "your" means the individual or organisation that applies to participate in the Program and who accepts these Terms & Conditions upon joining.
(4) By accepting these Terms & Conditions, you agree to be bound by them and enter into a binding agreement with us (the "Agreement").

1.1 In these Terms & Conditions the following terms shall have the following meanings:
- "Business Day" means any day other than Saturday or Sunday, or a public holiday in Finland.

"Cancellations Policy" means our cancellations policy which can be found at: sense.learnworlds.com/terms

"Commencement Date" means the date of your acceptance into the Program.

"Commission Rate" means the percentage of commission paid on net sales revenue as set out in Clause 11.2.

"Confidential Information" means all information (whether written, electronic or oral) relating to the business, clients, pricing, or operations of either Party, which is not publicly available.

"Current Term" means the Term that the Parties may be in at any given time.

"Direct Referral" means a sale of a Service Package to a customer who has been led to our website through your unique affiliate link, where that customer can be tracked directly from your site to ours without any further intermediaries.

"Intellectual Property Rights" means all rights subsisting in any copyright, trade mark, patent, design, or domain name, whether registered or unregistered, and shall be construed in accordance with Finnish and EU law.

"Registered Email Address" means the email address of the Affiliate as provided in your Registration Data.

"Registration Data" means the information provided by the Affiliate when registering for enrolment in the Program.

"Service Package" means a particular set of services or courses available from us through our website, as defined in Clause 7.

"Term" means the term of the Agreement, as defined in Clause 17 of these Terms & Conditions, during which you shall participate in the Program.
- 2.1 Affiliates are enrolled into the Program directly by Sense Valmennus Oy. Upon enrolment, the Affiliate must provide accurate and complete information (“Registration Data”) as requested, and shall inform the Company of any changes without undue delay.
- 2.2 By accepting these Terms & Conditions, the Affiliate enters into a binding Agreement with Sense Valmennus Oy. No separate hard copy of the Affiliate Agreement will be sent.
- 2.3 Sense Valmennus Oy reserves the right to remove an Affiliate from the Program if the Affiliate’s actions are clearly contrary to this Agreement or harm the reputation of the Company.
- 3.1 Participation in the Program does not create a partnership, joint venture, or employment relationship between the Parties.
- 3.2 Except as expressly stated in these Terms & Conditions, the Affiliate has no right or authority to act on behalf of Sense Valmennus Oy, enter into contracts, make commitments, or represent the Company in any way.
- 4.1 Each Affiliate will have access to their Affiliate Dashboard, which provides a personal tracking link to Sense Valmennus Oy’s website and courses.
- 4.2 The Affiliate must use the link exactly as provided. If the link is altered or used incorrectly, sales may not be tracked and no commission will be credited.
- 4.3 The Affiliate is responsible for ensuring that the links they share are active and correctly implemented.
- 5.1 Each Party is responsible for the content they publish or share when promoting Sense Valmennus Oy.
- 5.2 Affiliates may not publish or promote any content that:
- 5.2.1 is unlawful, harmful, discriminatory, defamatory, obscene, or otherwise inappropriate; or
- 5.2.2 infringes any third-party intellectual property rights.
- 5.3 If Sense Valmennus Oy notifies an Affiliate that any content is inappropriate or damaging to the Company’s reputation, the Affiliate must remove or stop using such content without delay.
- 6.1 The Affiliate agrees to provide and maintain accurate account and payment information.
- 6.2 The Affiliate may share their personal affiliate link and use official materials provided by Sense Valmennus Oy. The Affiliate may not create their own discounts, coupons, or offers without a separate agreement.
- 6.3 The Affiliate agrees to act in good faith and must not:

6.3.1 use spam, misleading, or illegal marketing methods;

6.3.2 misrepresent Sense Valmennus Oy or harm its reputation;

6.3.3 use Sense Valmennus Oy’s trademarks, logos, or materials in a way that could confuse customers without permission.
- 6.4 Sense Valmennus Oy reserves the right to request the removal of inappropriate advertising or to suspend the Affiliate’s account if marketing practices clearly violate these Terms & Conditions.
Sense Valmennus Oy provides services through its website in the form of courses, bundles, and subscriptions. Descriptions of these packages are available at sense.learnworlds.com. In the Affiliate Dashboard, Affiliates can view all products that are included in the Program and generate commission.
- 8.1 Commission is earned when a customer makes a purchase on Sense Valmennus Oy’s website through the Affiliate’s personal tracking link.
- 8.2 To ensure commissions are recorded correctly, the tracking link must be used in the form provided.
- 8.3 Any changes to referral requirements will be discussed and agreed together with the Affiliate before they take effect.
- 9.1 Sense Valmennus Oy is responsible for processing and fulfilling all orders placed by customers referred through Affiliate links.
- 9.2 Sense Valmennus Oy handles all aspects of the order, including order processing, payment collection, cancellations, and customer service. Affiliates are not involved in the completion of transactions, and customers will be informed that their agreement is directly with Sense Valmennus Oy.
- 10.1 Sense Valmennus Oy tracks all sales referred through Affiliate links, including the product purchased and the revenue generated.
- 10.2 Affiliates can view full reports of their sales and commissions in the Affiliate Dashboard. The format of reports may be updated from time to time.
- 11.1 The standard commission rate is 20% of the net sales price (excluding VAT 25.5%). In LearnWorlds, this is displayed as 16% of the gross price, which corresponds to 20% of the net price.
- 11.2 Commissions are calculated twice per month:

11.2.1 for sales between the 1st and 15th, and

11.2.2 for sales between the 16th and the end of the month.
- 11.3 Commissions become payable 7 days after the end of each commission period.
- 11.4 Affiliates will issue an invoice to Sense Valmennus Oy for the approved commissions. Payment terms are 7 days net from receipt of invoice.
- 11.5 Commissions are paid only on completed transactions. If a customer cancels or requests a refund, the related commission will not be paid or will be deducted from the next payout.
- 11.6 If the Affiliate is VAT liable, VAT may be added to the commission amount in accordance with applicable tax regulations.
- 11.7 Affiliates are responsible for declaring and paying any other taxes due on their commission income.
- 11.8 Sense Valmennus Oy reserves the right to adjust the commission rate or payment terms in consultation with Affiliates. Any changes will be discussed and agreed together before they take effect.
- 12.1 Affiliates may use the name Sense Valmennus Oy and official logos only for promoting courses through their affiliate link.
- 12.2 All rights remain with Sense Valmennus Oy, and any other use requires prior approval.
- 13.1 All content, materials, and intellectual property related to Sense Valmennus Oy’s courses, website, and marketing materials remain the sole property of Sense Valmennus Oy.
- 13.2 Affiliates may not copy, distribute, or use such materials for any purpose other than promoting courses through their affiliate link, unless expressly approved by Sense Valmennus Oy.
- 14.1 Sense Valmennus Oy makes no guarantee of specific results from participation in the Program.
- 14.2 While we aim to keep our website and services available and accurate, occasional errors or downtime may occur, and Sense Valmennus Oy is not liable for such interruptions.
- 15.1 These Terms & Conditions take effect from the date the Affiliate joins the Program and remain in force until terminated.
- 15.2 Either Party may terminate this Agreement at any time by giving 30 days’ written notice to the other Party.
- 15.3 If, at the time of termination, the Affiliate is actively engaged in ongoing marketing or customer activities related to Sense Valmennus Oy, the Agreement shall remain in effect until the conclusion of such activities, but no longer than 60 days from the notice, unless otherwise mutually agreed.
- 15.4 Commissions already earned and approved before termination will be paid to the Affiliate. Commissions will also continue to be paid for purchases made within the 90-day referral period after a customer has first clicked the Affiliate’s link, even if the Agreement is terminated during that time.
- 15.5 Sense Valmennus Oy may terminate the Agreement with immediate effect if the Affiliate clearly breaches these Terms & Conditions.
- 15.6 Upon termination, the Affiliate must stop using affiliate links and any materials provided by Sense Valmennus Oy.
- 16.1 Affiliates agree to keep confidential any non-public information about Sense Valmennus Oy, including business strategies, customer data, pricing, and course content. Such information may not be shared with third parties or used for any purpose other than promoting courses through the Affiliate Program.
- 16.2 The obligation of confidentiality does not apply to information that is already public or later becomes public through no fault of the Affiliate.
- 16.3 Upon termination of the Agreement, the Affiliate must stop using and, if requested, return or delete all confidential information belonging to Sense Valmennus Oy.
- The Affiliate relationship is non-exclusive. Both Parties are free to enter into similar relationships with other partners.
- This Agreement is governed by the laws of Finland. Any disputes shall be resolved primarily through negotiation. If no settlement is reached, the matter shall be decided by the District Court of Kainuu.
